Services
Local Pulse agrees to provide the services outlined in the agreement with the Client. These services may include:
- Social Media Marketing
- Search Engine Optimization (SEO)
- Google Advertising
- Web Design and Development
- Content Creation
Local Pulse will make every effort to deliver services in accordance with the agreed timelines and specifications.
Client Obligations
The Client agrees to:
- Provide all necessary information and materials required for Local Pulse to perform the services.
- Ensure all information provided is accurate and up-to-date.
- Cooperate with Local Pulse to facilitate the provision of services.
- Make timely payments as per the agreed payment terms.
Payment Terms
- Fees: The Client agrees to pay Local Pulse the fees specified in the agreement. Fees are subject to change with notice.
- Payment Schedule: Payment terms will be outlined in the agreement. Payments may be required upfront, on a retainer basis, or upon completion of specific milestones.
- Late Payments: Late payments may incur additional fees. Local Pulse reserves the right to suspend services until all outstanding payments are made.
Intellectual Property
- Client Materials: All materials provided by the Client for the purpose of the services remain the property of the Client.
- Agency Materials: All materials created by Local Pulse in the course of providing the services remain the property of Local Pulse until full payment has been received.
- Licensing: Upon full payment, Local Pulse grants the Client a non-exclusive, perpetual license to use the materials created for the agreed purpose.
Confidentiality
Both parties agree to keep confidential any proprietary information received from the other party during the course of the agreement. This includes but is not limited to business strategies, marketing plans, and financial information.
Termination
- Termination by Client: The Client may terminate the agreement with written notice. Fees for services rendered up to the date of termination will be due.
- Termination by Agency: Local Pulse reserves the right to terminate the agreement with immediate effect if the Client breaches any of these Terms and Conditions.
- Effect of Termination: Upon termination, all materials and work completed will be handed over to the Client, provided all outstanding payments are made.
Liability
- Limitation of Liability: Local Pulse's liability for any claims arising out of or in connection with this agreement shall be limited to the amount of fees paid by the Client.
- Indemnity: The Client agrees to indemnify and hold Local Pulse harmless from any claims, damages, losses, or expenses arising from the Client’s use of the services.
Warranties
- No Warranty: Local Pulse provides its services on an “as is” basis and does not warrant that the services will meet the Client’s expectations or requirements.
- Performance: While Local Pulse will make every effort to achieve the agreed-upon results, it does not guarantee specific outcomes or results from the services.
Force Majeure
Local Pulse shall not be liable for any failure to perform its obligations where such failure is due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, or industrial action.
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Local Pulse operates. Any disputes arising under or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
Changes to Terms and Conditions
Local Pulse reserves the right to change these Terms and Conditions at any time. Any changes will be posted on our website and will take effect immediately upon posting.
